  1. Introduction

Welcome to Actus Verto (“we”, “us”, “our”). These Terms govern your use of our website, services, consultations, and deliverables (collectively, “Services”). By accessing or using our Services, you agree to these Terms.

  1. Scope

These Terms apply to any engagement—whether by web inquiry, proposal, agreement, or consulting project. Supplementary agreements (e.g., Schedules, Statements of Work) may add further requirements.

  1. Definitions

  • “Customer Data” means data you provide or that arises from your use of our Services.
  • “Confidential Information” means any business, technical, or strategic information disclosed in connection with the Services not in the public domain.
  1. Information Security & ISO 27001 Compliance

4.1. ISO 27001 certification
We are undergoing the process of attaining the ISO 27001 certification (Information Security Management System) and follow a documented ISMS to manage risks, enforce controls (e.g., access control, encryption, incident management), and continually improve.

4.2. Data protection

  • All Customer Data is securely stored and processed in line with ISO requirements.
  • We maintain cryptographic controls to ensure confidentiality and integrity in transit (TLS 1.2+ or equivalent) and at rest.
  • Regular internal and independent audits are performed, including penetration tests, security assessments, and vulnerability scans.

4.3. Incident Management
In the event of a security incident affecting Customer Data, we commit to:

  • Promptly assess scope and impact.
  • Notify affected customers and authorities within statutory timeframes (e.g., GDPR).
  • Contain, remediate, and document lessons learned.

4.4. Access and Personnel Controls

  • Role-based access limits personnel to only the data essential for their job.
  • Employees and contractors undergo security screening and ISO-aligned training.
  • Departing personnel have access revoked immediately.
  1. Customer Responsibilities

  • You must use strong authentication for your account and notify us of any unauthorized access.
  • Ensure Customer Data complies with applicable laws (e.g., GDPR, export control).
  • Be responsible for backups where agreed (unless we provide that service).
  • Inform us promptly of any suspected data breaches or vulnerabilities.
  1. Privacy & Data Protection

Our Privacy Policy (https://actusverto.com/privacy-policy/) describes:

  • What personal data we collect, why, how it is used and retained.
  • Data subject rights (access, correction, erasure).
  • Use of cookies and analytics data.
  • Details of cross-border data transfers and legal bases (e.g., contractual, legitimate interests).
  1. Service Levels & Availability

Unless otherwise stated in written agreement:

  • Our target availability for cloud‑based Services is 99.5% (excluding scheduled maintenance).
  • Support is available Mon–Fri, 9 am–5 pm UK time, via email or portal.
  • We will respond to critical requests (e.g. security incidents) within 6 hours.
  1. Intellectual Property

  • We retain all IP rights in methodologies, templates, tools, code, frameworks, and documentation created prior to or independent of your engagement (“Our IP”).
  • You will own any deliverables specifically developed for you under the engagement, once payment is complete, unless otherwise agreed.
  • You grant us a license to use anonymized, redacted versions of your deliverables for our marketing, internal benchmarking, or continuous improvement, subject to your approval.
  1. Confidentiality

Both parties agree to:

  • Keep Confidential Information secret, using at least the same standard of care as for their own proprietary information.
  • Limit internal disclosure to those who need to know and under strict confidentiality obligations.
  • Exclusions: information already public, independently developed, or lawfully obtained from others.
  1. Fees & Payment

  • Fees are set out in proposals, statements of work, or purchase orders.
  • Unless otherwise stated, invoices are payable within 30 days netto.
  • Late payments carry interest at 4% above UK base rate per month, until paid.
  1. Termination

  • Either party may terminate with 30 days written notice if the other materially breaches Terms and fails to remedy within 14 days.
  • We may suspend Services immediately if required by law or to protect the security of Customer Data.
  • Upon termination:
    • You consent to deletion or return of Customer Data within 30 days.
    • We may retain redacted copies of work product as required by law and for our legal protection.
  1. Liability

  • Nothing limits liability for death, personal injury, or fraudulent misrepresentation.
  • Our total liability for any claim arising out of or relating to the Services (in contract, tort, or otherwise) is capped at the total Fees you paid us in the 12 months preceding the claim.
  • We are not liable for loss of profits, business interruption, loss of goodwill, or indirect losses.
  1. General Terms

  • Amendments: Only valid if mutually agreed in writing.
  • Force majeure: Neither party is liable for delays due to causes beyond its reasonable control.
  • Assignment: You may not assign these Terms without our prior written consent.
  • Governing Law & Dispute Resolution: English law applies. Disputes unresolved within 30 days will be referred to UK arbitration (London) under ICC rules.
